1. Scope of Services
Back Office Boost provides operations support, including marketing, technology, lead generation and automation, and administrative services for real estate professionals and entrepreneurs.
2. Payment Terms
a. Referral Fees for GCI Earned by Real Estate Agent
The Client agrees to pay a referral fee of ten percent (10%) of the gross commission income for each real estate transaction closed during the term of this Agreement. Referral fees shall also apply for a period of twelve (12) months following the termination of this Agreement, whether such termination is voluntary or involuntary, for any transactions involving leads generated or nurtured by Back Office Boost systems. Payment is due within seven (7) days of the transaction’s closing date.
b. Payment Instructions
All payments shall be made to EPIQUE Realty. A generic referral agreement and W-9 form will be provided by Back Office Boost on the agent's first transaction after enrolling in the program, along with an invoice. An invoice will be generated by Back Office Boost for each subsequent transaction, including payment instructions.
3. Term of Agreement
a. Initial Term
The initial term of this Agreement shall be three (3) months from the date all lead generation systems are live for the Client. Should the Client wish to cancel this Agreement prior to the end of the initial term, a cancellation fee of $1,000 shall be assessed.
b. Exclusions
The Client may exclude current listings, pendings, buyer-agreement clients, and immediate family members; however, no sphere of influence contacts may be excluded without prior written consent from Back Office Boost.
c. Renewal and Referral Fee Protection
This Agreement shall automatically renew for successive six (6) month terms following the initial term, unless a written cancellation request is received from either Back Office Boost or the Client within thirty (30) days prior to expiration of the then-current term.
4. Late Payments
Payments not received by the due date will incur a late fee of five percent (5%), and Back Office Boost reserves the right to suspend services until payment is received.
5. Exclusivity
Back Office Boost agrees to provide exclusivity for operations support to their clients in their selected service area, limited to 10,000 households (one county or five cities/zip codes).
6. Confidentiality
Both parties agree to maintain the confidentiality of all sensitive business and financial information and proprietary coaching and marketing resources exchanged during the course of this Agreement. If any Client replicates content without the prior written consent of Back Office Boost, a $10,000 fee shall be assessed.
7. Limitation of Liability
Back Office Boost shall not be liable for any indirect, incidental, or consequential damages arising from the use of its services.
8. Governing Law
This Agreement shall be governed by the laws of the State of Florida.
9. Entire Agreement
This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements or understandings, whether written or oral. By electronically acknowledging receipt and review of this Agreement, both parties agree to the terms outlined herein, as well as to future updates.
